By accessing our website, booking a call, becoming a client, or using our services, you agree to these Terms. If you do not agree with these Terms, you should not use our services.
If you are entering into these Terms on behalf of a company or other organisation, you confirm that you have authority to bind that organisation.
2. Our Services
LinkedOut provides sales, marketing and business development services designed to help organisations generate more relevant business conversations and opportunities.
Our services may include:
Sales and marketing strategy
Messaging and copywriting
Prospect identification
Contact enrichment
Personalised outreach
LinkedIn outreach
Email outreach
WhatsApp, Telegram and iMessage outreach
AI-assisted personalisation
Voice and audio personalisation
Campaign optimisation
Multi-channel campaign management
Meeting generation
Reporting and performance analysis
The specific services provided to a client will depend on the agreed scope of work, proposal, order form, statement of work or other written agreement.
3. Eligibility
You must be legally capable of entering into a binding contract to use our services.
If you use our services on behalf of a business or organisation, you confirm that:
You have authority to act on its behalf; and
You have authority to agree to these Terms on its behalf.
4. Client Responsibilities
You agree to provide us with information, materials and access reasonably required to deliver the services.
This may include:
Company information
Your professional profile
Target audience information
Your expertise and messaging
Brand guidelines
Approved marketing materials
Contact information
Social media or professional networking access
Voice recordings
Other information reasonably required for the services
You are responsible for ensuring that information you provide to us is accurate, lawful and up to date.
You must not provide information or materials that you do not have the right or permission to use.
5. Outreach and Marketing Compliance
Where LinkedOut performs outreach on your behalf, you remain responsible for ensuring that your products, services and proposed communications are lawful and appropriate for your target audience.
You must not instruct us to:
Send unlawful or misleading communications
Make fraudulent or deceptive claims
Impersonate another person without authorisation
Contact individuals where such contact is prohibited by applicable law
Circumvent applicable marketing restrictions
Use personal information unlawfully
Violate the terms of third-party platforms
We may refuse or stop a campaign if we reasonably believe that the campaign may violate applicable law, platform rules, these Terms, or our internal policies.
6. Third-Party Platforms
Our services may use or interact with third-party platforms, including LinkedIn, email providers, WhatsApp, Telegram, iMessage, CRM systems, scheduling platforms and other communication or technology services.
Your use of those platforms may be subject to their separate terms, policies and restrictions.
LinkedOut does not guarantee that a third-party platform will:
Remain available
Permit a particular type of outreach
Maintain its current functionality
Accept or deliver communications
Continue to support a particular integration
We are not responsible for interruptions, restrictions, suspensions or changes imposed by third-party platforms that are outside our reasonable control.
7. AI and Voice Technology
Certain LinkedOut services may use artificial intelligence, automation, voice synthesis or related technologies.
Where you provide a voice recording or other materials for personalisation, you authorise LinkedOut to process those materials as reasonably necessary to provide the services you have requested.
You confirm that you have the necessary rights and permissions to provide any voice recordings, likenesses, content or other materials supplied to us.
AI-generated content may not always be identical to content produced directly by a human and may contain errors or inaccuracies.
You remain responsible for reviewing and approving content where appropriate before it is used commercially.
8. Intellectual Property
Your Materials
You retain ownership of intellectual property rights in materials you provide to LinkedOut, including your existing:
Brand materials
Content
Messaging
Audio recordings
Videos
Images
Written materials
Business information
You grant LinkedOut a limited licence to use those materials as necessary to provide the agreed services.
LinkedOut Materials
Unless otherwise agreed in writing, LinkedOut retains ownership of its pre-existing methodologies, systems, processes, templates, know-how, software, tools and proprietary materials.
Nothing in these Terms transfers ownership of LinkedOut’s underlying systems, technology or intellectual property to you.
Deliverables
Subject to payment of all applicable fees, you may use deliverables specifically created for you as part of the agreed services for your business purposes.
Any third-party materials remain subject to the applicable third party’s rights and terms.
9. Confidentiality
Each party agrees to keep confidential information received from the other party confidential and to use it only for legitimate purposes connected with the business relationship.
Confidential information does not include information that:
Is already publicly available
Was lawfully known before disclosure
Is independently developed without using confidential information
Must be disclosed by law or a competent authority
These confidentiality obligations will continue after the services end, subject to applicable law.
10. Data Protection
The parties agree to comply with applicable data protection and privacy laws.
Where LinkedOut processes personal data on behalf of a client, the parties may enter into a separate Data Processing Agreement where required.
The client remains responsible for determining the lawful purpose and legal basis for processing personal data where LinkedOut acts on the client’s instructions.

11. Fees and Payment
Fees for LinkedOut services will be agreed with you before the relevant services begin.
Unless otherwise agreed in writing:
Invoices must be paid within the agreed payment period.
You are responsible for providing accurate billing information.
Fees are exclusive of applicable taxes unless stated otherwise.
We may suspend services where undisputed invoices remain overdue.
Additional work outside the agreed scope may be charged separately following agreement between the parties.
12. Results and Performance
LinkedOut aims to improve sales conversations, engagement and business development outcomes.
However, we do not guarantee:
A specific number of leads
A specific number of meetings
A specific response rate
A specific conversion rate
A specific revenue amount
A specific return on investment
Pipeline generation of any particular value
Continued access to a particular third-party platform
Past client results, case studies, testimonials and examples are illustrative and do not constitute a guarantee of future results.
Business performance depends on many factors outside LinkedOut’s control, including market conditions, pricing, product-market fit, sales processes, target audience, competition and client execution.
13. Communications and Approvals
Where client approval is required, the client is responsible for reviewing and approving materials within a reasonable period.
Delays in providing approvals, information, access or other required materials may affect delivery timelines and campaign performance.
Where you approve content or instruct us to use specific information, you remain responsible for ensuring that the information is accurate and appropriate.
14. Cancellation and Termination
Either party may terminate the services in accordance with the cancellation terms contained in the applicable proposal, order form, statement of work or agreement.
If no separate termination terms apply, either party may terminate an ongoing service arrangement by providing 30 days’ written notice.
We may terminate or suspend services immediately where:
You materially breach these Terms
You fail to pay amounts due
You provide unlawful instructions
Your activities create a significant legal, security or reputational risk
Continued provision of the services would violate applicable law
A third-party platform prevents us from reasonably providing the services
Termination does not affect rights or obligations that accrued before termination.
15. Refunds
Unless otherwise agreed in writing, fees paid for services already provided are non-refundable.
Where a service has been prepaid and the applicable agreement provides for termination or refund, any refund will be handled according to the terms of that agreement.
16. Disclaimer
To the fullest extent permitted by law, LinkedOut provides its website and services on an “as available” basis.
We do not warrant that:
The website will always be available
The services will be uninterrupted
The services will be completely error-free
AI-generated content will always be accurate
Third-party platforms will remain available
Every prospect identified will be suitable
Every communication will be delivered or responded to
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
17. Limitation of Liability
To the fullest extent permitted by applicable law, LinkedOut will not be liable for indirect, incidental, special or consequential losses, including loss of:
Profit
Revenue
Business opportunities
Expected savings
Goodwill
Reputation
Data
LinkedOut’s total aggregate liability arising from or in connection with the services will, to the fullest extent permitted by law, be limited to the total fees paid or payable by you to LinkedOut for the services giving rise to the claim during the 12 months preceding the event giving rise to the liability.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for fraud or fraudulent misrepresentation, or any other liability that applicable law does not permit us to exclude.
18. Indemnity
To the extent permitted by law, you agree to indemnify LinkedOut against claims, losses, liabilities and reasonable costs arising from:
Your unlawful use of the services
Your breach of these Terms
Your violation of applicable laws
Your infringement of third-party intellectual property rights
Your instructions to LinkedOut to use materials or information without the necessary rights or permissions
Your misuse of outreach or marketing services
This section does not apply to the extent that a claim results from LinkedOut’s own breach of applicable law or these Terms.
19. Website Content
Information provided on our website is for general informational purposes.
Although we aim to keep information accurate and up to date, we do not guarantee that all website content is complete, current or error-free.
Examples, testimonials, statistics and client results shown on the website are provided for illustrative purposes and may not represent typical results.
20. Acceptable Use
You must not use LinkedOut’s website or services to:
Break the law
Commit fraud
Send malicious content
Harass or threaten individuals
Infringe intellectual property rights
Obtain unauthorised access to systems or accounts
Distribute malware
Circumvent security controls
Abuse communication platforms

24. Governing Law and Jurisdiction
These Terms and any dispute arising from them are governed by the laws of England and Wales, unless a separate written agreement with you states otherwise.
Subject to any mandatory rights you may have under applicable law, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms.
25. Entire Agreement
These Terms, together with any applicable proposal, order form, statement of work, Data Processing Agreement and other written agreements between you and LinkedOut, constitute the agreement between the parties regarding the relevant services.
If there is a conflict between these Terms and a separately signed agreement, the separately signed agreement will take precedence to the extent of the conflict.
26. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable.
The remaining provisions will continue in full force and effect.
27. No Waiver
If either party does not immediately enforce a right under these Terms, this does not mean that the party has waived that right.
A waiver must be expressly given and will apply only to the specific circumstances for which it is given.
